Welcome to DigiLog by Getnomik ("DigiLog", "we", "our", or "us"). These Terms & Conditions ("Terms") govern your access to and use of the DigiLog platform, website, mobile application, and all related services (collectively, the "Services"). Please read these Terms carefully before creating an account or using our Services.

By accessing or using DigiLog — including by registering an account, clicking "I Agree," or by continuing to use the platform — you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms in their entirety, you must immediately discontinue use of the Services.

1. Overview of Services

DigiLog by Getnomik is a cloud-based digital logbook and document management platform designed exclusively for lawyers, notaries, legal professionals, and law firms. The platform enables users to:

• Securely create, store, and manage client records and legal files.
• Draft, execute, and store legally binding agreements and documents.
• Apply and manage digital/electronic signatures on documents.
• Organize and retrieve case-related records and correspondence.
• Track notarial acts, attestations, and stamp paper details.
• Collaborate with clients and co-counsel through secure document sharing.

The Services are provided on a subscription basis. Certain features may vary depending on the subscription plan selected.

2. Eligibility

To register for and use DigiLog, you must meet all of the following eligibility criteria:

• You must be at least 18 years of age.
• You must be a licensed and practising legal professional, notary, advocate, solicitor, or a duly authorised representative of a registered law firm or notarial office.
• You must possess a valid licence or registration number issued by a competent legal authority, bar council, or notarial board in your jurisdiction.
• You must provide accurate, current, and complete information during registration and keep such information updated at all times.
• You must not be barred, suspended, or disqualified from practising law or notarial services by any regulatory authority.
• Where you register on behalf of a law firm or organisation, you represent and warrant that you have the authority to bind that entity to these Terms.

Getnomik reserves the right to verify your professional credentials at any time and to suspend or terminate accounts that do not meet or no longer satisfy these eligibility requirements, without prior notice.

3. Account Registration & Security

When you register an account with DigiLog, you agree to:

• Provide accurate, complete, and truthful information in all registration fields, including your full legal name, professional licence or registration number, firm name, email address, and phone number.
• Keep your account credentials — including your username and password — strictly confidential and not share them with any third party.
• Immediately notify DigiLog at support@getnomik.com of any suspected or actual unauthorised access to or use of your account.
• Accept full responsibility for all activities that occur under your account, whether or not authorised by you.
• Not create multiple accounts, use false identities, or impersonate any other person or entity.

DigiLog is not liable for any loss, damage, or liability arising from your failure to comply with the above account security obligations, or from any unauthorised access to your account resulting from your own negligence.

We reserve the right to disable any account at our sole discretion if we reasonably believe that account security has been compromised, or that the account is being used in violation of these Terms.

4. Permitted & Prohibited Use

4.1 Permitted Use. You may use the Services solely for lawful professional purposes consistent with applicable laws, regulations, and professional conduct rules governing the practice of law and notarial services in your jurisdiction.

4.2 Prohibited Conduct. You agree that you will not, under any circumstances:

• Upload, store, transmit, or share any information that is false, fraudulent, defamatory, obscene, illegal, or that violates any applicable law or regulation.
• Use the platform to facilitate or conceal any unlawful activity, including money laundering, fraud, identity theft, or unauthorised practice of law.
• Violate the intellectual property rights, privacy rights, or any other rights of any third party.
• Attempt to gain unauthorised access to any part of the platform, other user accounts, or DigiLog's servers or networks.
• Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the platform.
• Introduce or transmit any viruses, malware, ransomware, spyware, or other harmful or disruptive code.
• Use automated scripts, bots, crawlers, or scrapers to access or extract data from the platform.
• Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services without our express written permission.
• Use the platform to harass, abuse, threaten, or harm any individual or entity.
• Breach any duty of confidentiality owed to your clients, or use the platform in a manner that violates applicable professional conduct rules or bar regulations.

Any violation of the above may result in immediate account suspension or termination, and may be reported to relevant legal and regulatory authorities.

5. Data Ownership & Responsibility

5.1 Your Data. You retain full ownership of all client records, case files, documents, and other data you upload or create through the Services ("User Data"). By using the Services, you grant Getnomik a limited, non-exclusive, royalty-free licence to process, store, and transmit your User Data solely to the extent necessary to provide the Services to you.

5.2 Accuracy & Compliance. You are solely responsible for the accuracy, legality, and completeness of all User Data. DigiLog does not review, verify, or validate the content of your documents or client records.

5.3 Client Confidentiality. You are responsible for ensuring that your use of the platform complies with all applicable attorney-client privilege rules, professional secrecy obligations, and data protection laws in your jurisdiction. You must obtain all necessary consents from your clients before uploading their personal information to the platform.

5.4 Data Retention. Upon termination of your account, we will retain your data for a period of 90 days, after which it may be permanently deleted. It is your responsibility to export or back up your data prior to termination.

6. Digital Signatures & Legal Validity

DigiLog provides an electronic signature feature to facilitate the execution of documents. You acknowledge and agree that:

• The legal validity and enforceability of electronic signatures vary by jurisdiction and document type. You are solely responsible for ensuring that the use of e-signatures through DigiLog complies with the applicable laws of your jurisdiction, including but not limited to the Information Technology Act, 2000 (India) and any state-level regulations.
• Certain categories of documents may be required by law to be executed in wet ink or before a notary. DigiLog does not warrant that e-signatures executed on its platform will be legally sufficient for all document types.
• You are responsible for verifying the identity of all signatories prior to executing documents through the platform.
• DigiLog maintains audit logs of all signature events, which may be used as evidence of execution. However, DigiLog makes no warranty as to the admissibility of such logs in any court or tribunal.

7. Subscription Plans & Payments

7.1 Plans. DigiLog offers various subscription tiers as described on our pricing page. Features and storage limits vary by plan. We reserve the right to modify plan offerings at any time, with notice to existing subscribers.

7.2 Billing. Subscription fees are billed in advance on a monthly or annual basis, depending on the plan selected. All fees are quoted and charged in Indian Rupees (INR) unless otherwise stated.

7.3 Payment Processing. Payments are processed by authorised third-party payment gateways. By providing payment information, you authorise us to charge the applicable subscription fees to your chosen payment method on a recurring basis.

7.4 Auto-Renewal. Subscriptions automatically renew at the end of each billing cycle unless cancelled prior to the renewal date. It is your responsibility to cancel your subscription before renewal if you do not wish to be charged.

7.5 Refund Policy. All fees paid are non-refundable except as expressly required by applicable law. If you believe you have been charged in error, please contact us at support@getnomik.com within 7 days of the charge.

7.6 Taxes. Subscription fees are exclusive of applicable taxes, including Goods and Services Tax (GST). Any applicable taxes will be added to your invoice and are your responsibility.

7.7 Failure to Pay. If payment is not received by the due date, we reserve the right to suspend access to your account until payment is received, or to terminate your account after a reasonable notice period.

8. Intellectual Property Rights

8.1 DigiLog IP. All intellectual property rights in the DigiLog platform — including but not limited to its design, architecture, source code, features, trademarks, logos, graphics, user interface, and documentation — are exclusively owned by or licenced to Getnomik Pvt. Ltd. Nothing in these Terms grants you any right, title, or interest in our intellectual property.

8.2 Restrictions. You must not copy, reproduce, modify, distribute, transmit, display, publish, create derivative works from, or commercially exploit any part of the Services without our prior written consent.

8.3 Feedback. If you submit suggestions, feedback, or ideas for improving DigiLog, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use, implement, and incorporate such feedback without any obligation or compensation to you.

9. Third-Party Services & Integrations

DigiLog may integrate with or link to third-party services, applications, or websites (e.g., payment gateways, cloud storage providers, identity verification services). We do not endorse, control, or assume any responsibility for the content, privacy practices, or terms of any third-party service. Your use of third-party services is at your own risk and subject to their respective terms and policies.

10. Confidentiality

Both parties agree to keep confidential any non-public information disclosed in connection with the Services. Getnomik will not disclose your User Data to third parties except as described in our Privacy Policy, as required by law, or as necessary to provide the Services. You agree not to disclose any proprietary information about DigiLog's platform, features, pricing, or technology that is not publicly available.

11. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GETNOMIK DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• Implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
• Warranties that the Services will be uninterrupted, error-free, secure, or free of viruses or harmful components.
• Warranties regarding the accuracy, reliability, completeness, or timeliness of any content on the platform.
• Warranties that the platform will meet your professional or legal requirements.

DigiLog does not provide legal advice. The platform is a technology tool and is not a substitute for professional legal judgment. You are solely responsible for all legal and professional decisions made using the platform.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GETNOMIK PVT. LTD. AND ITS DIRECTORS, EMPLOYEES, AFFILIATES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, punitive, or exemplary damages.
• Loss of profits, revenue, business, data, goodwill, or anticipated savings.
• Unauthorised access to or alteration of your data or transmissions.
• Any legal, regulatory, or professional consequences arising from your use of the platform or documents executed through it.
• Service interruptions, downtime, or data loss resulting from circumstances beyond our reasonable control.

In no event shall Getnomik's total aggregate liability to you exceed the amount you paid to DigiLog in the three (3) months immediately preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Getnomik Pvt. Ltd. and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your User Data; or (e) any dispute between you and a third party, including your clients.

14. Suspension & Termination

14.1 By You. You may terminate your account at any time by contacting us at support@getnomik.com or using the account deletion feature in your dashboard settings. Termination does not entitle you to a refund of any prepaid fees.

14.2 By Us. We reserve the right to suspend, restrict, or permanently terminate your account, with or without prior notice, if:

• You violate any provision of these Terms.
• You engage in fraudulent, abusive, or illegal conduct.
• Your subscription payment is overdue.
• We are required to do so by law or court order.
• We reasonably believe that continued access poses a risk to other users, third parties, or the integrity of the platform.

14.3 Effect of Termination. Upon termination, your right to access and use the Services ceases immediately. We may delete your account data after the 90-day retention period described in Section 5.4. Provisions of these Terms that by their nature should survive termination shall continue to apply, including Sections 8, 11, 12, 13, and 16.

15. Force Majeure

Getnomik shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, civil unrest, government actions, power outages, internet disruptions, or third-party service failures.

16. Governing Law & Dispute Resolution

16.1 Governing Law. These Terms and any dispute arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Republic of India, without regard to its conflict of law principles.

16.2 Informal Resolution. Before initiating any formal proceedings, you agree to first attempt to resolve any dispute informally by contacting us at support@getnomik.com. We will endeavour to resolve the dispute within 30 days.

16.3 Arbitration. If a dispute cannot be resolved informally, it shall be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (India). The seat of arbitration shall be Ahmedabad, Gujarat, India. The language of arbitration shall be English. The decision of the arbitrator shall be final and binding on both parties.

16.4 Jurisdiction. For matters not subject to arbitration, you agree to submit to the exclusive jurisdiction of the courts located in Ahmedabad, Gujarat, India.

17. Changes to Terms

We reserve the right to amend or update these Terms at any time. Where changes are material, we will notify you by email or through a prominent notice on the platform at least 14 days before the changes take effect. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Services and may terminate your account.

18. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severable from the remaining provisions and shall not affect their validity and enforceability.

19. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms applicable to specific features of the Services, constitute the entire agreement between you and Getnomik Pvt. Ltd. with respect to the Services and supersede all prior agreements, understandings, representations, and warranties, whether written or oral, relating to the subject matter hereof.

21. Acceptance

BY REGISTERING AN ACCOUNT OR USING DIGILOG, YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE LEGALLY BOUND BY THESE TERMS & CONDITIONS IN THEIR ENTIRETY. IF YOU ARE ACCEPTING ON BEHALF OF A LAW FIRM OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE FULL AUTHORITY TO BIND SUCH ENTITY TO THESE TERMS.
